1. Introduction

Welcome to Muatasim Billah's professional services. These Terms of Service ("Terms") govern your use of services provided by Muatasim Billah ("I", "me", "my"), including the website, design services, development services, and other professional offerings.

By engaging my services, you ("Client", "you", "your") agree to these Terms. Please read them carefully. If you do not agree with these Terms, please do not use my services.

2. Services

I offer various professional services including but not limited to:

• Shopify Store Design and Development
• Frontend Website Development
• AI Talking Avatar Creation
• Canva Graphic Design
• AI Voice Over Production
• Audio Engineering

The specific details, deliverables, and specifications for your project will be outlined in a separate agreement or project proposal. These Terms serve as a supplement to any project-specific agreement.

3. Intellectual Property

3.1 Client Content

You retain all ownership rights to content you provide for the project, including text, images, logos, trademarks, and other materials ("Client Content"). You grant me a limited license to use Client Content solely for the purpose of providing the agreed-upon services.

3.2 Final Deliverables

Upon receipt of full payment, you will own the final deliverables created specifically for your project. This ownership transfer excludes:

• Third-party elements (fonts, images, software, code libraries) which remain subject to their original licenses
• Custom code, templates, or frameworks I developed prior to your project
• Design concepts or drafts that were not selected for final delivery

3.3 My Rights

I reserve the right to:

• Display and link to your completed project in my portfolio, case studies, and promotional materials
• Describe my role in the project for promotional purposes
• Retain and reuse non-specific design elements, coding techniques, and problem-solving methods developed during your project

If confidentiality is required, please request this in writing before the project begins.

4. Payment Terms

4.1 Fees

My fees will be outlined in a project proposal or agreement. Unless otherwise stated, all prices are in USD.

4.2 Payment Schedule

Unless otherwise agreed in writing:

• A non-refundable deposit of 50% is required to secure a booking and begin work
• The remaining balance is due upon project completion and before the final files/deliverables are provided
• For larger projects, milestone payments may be arranged

4.3 Late Payments

Payments not received by the due date may incur a late fee of 5% per month. Work may be paused on projects with outstanding payments.

4.4 Expenses

You agree to reimburse any project-related expenses that were pre-approved in writing (such as stock photos, premium plugins, fonts, etc.).

5. Delivery & Revisions

5.1 Timeline

Project timelines will be outlined in the project proposal. These timelines are estimates and may be affected by:

• Promptness of your feedback and communication
• Changes to the project scope
• Unforeseen technical challenges
• Timely provision of necessary content and access

5.2 Revisions

Unless otherwise specified in the project proposal:

• Projects include up to two rounds of minor revisions
• Major changes or additional revision rounds may incur extra charges
• Revision requests must be submitted within 14 days of delivery

5.3 Project Delays

If a project remains inactive for 30 days or more due to lack of client response or input, I reserve the right to consider the project completed. Reactivating the project may incur additional fees.

6. Confidentiality

I respect the confidential nature of the information shared during our work together. I will not disclose confidential information to third parties except as required to complete the project (e.g., to subcontractors who are also bound by confidentiality).

Confidential information does not include information that:

• Is or becomes publicly available through no fault of mine
• Was known to me before your disclosure
• Is rightfully obtained from third parties
• Is independently developed without use of your confidential information

This confidentiality obligation survives the termination of our agreement.

7. Termination

7.1 Termination by Client

You may terminate the project at any time by providing written notice. In such cases:

• The non-refundable deposit will be retained
• You will be billed for all work completed up to the termination date
• You will not receive ownership of any incomplete deliverables

7.2 Termination by Me

I reserve the right to terminate our agreement if:

• You breach these Terms
• You fail to provide necessary materials, feedback, or payments
• The project involves illegal activities or content
• Professional differences arise that cannot be reasonably resolved

In such cases, you will be billed for all work completed up to the termination date.

8. Limitation of Liability

To the maximum extent permitted by law:

• My liability is limited to the amount paid for the specific project in question
• I am not liable for any indirect, consequential, special, incidental, or punitive damages
• I make no warranties or guarantees about business outcomes resulting from my services

I strive to deliver high-quality work but cannot guarantee that deliverables will be completely error-free or that websites will function perfectly across all possible device/browser combinations.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from these Terms or related services shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

10. Changes to Terms

I reserve the right to modify these Terms at any time. Changes will be effective upon posting to my website. For existing clients, material changes will be communicated via email.
